Acquisition Accelerates Level 3 Business Plan
OMAHA, NE, October 5, 1998 – Level 3 Communications, Inc. (Nasdaq: LVLT) today announced that the acquisition of GeoNet Communications, Inc., has been completed. The terms of the acquisition call for a stock for stock transaction with an aggregate of 511,719 shares of Level 3 common stock being issued at closing. At
Level 3's closing price on September 30 ($31 15/16), the acquisition is valued at approximately $16.3 million.
The acquisition of GeoNet accelerates Level 3's business plan for moving into the leading edge Silicon Valley market. Additionally, GeoNet serves businesses, which are logical prospects for Level 3's broader array of communications services. Founded in 1994, GeoNet developed into a Tier-1 Internet Service Provider offering direct access to the Internet and serving over 200 customers in Northern California. GeoNet has been recognized as the region's "#1 value in T1 business Internet access" by the Keystone/Boardwatch Index, an independent survey of national Internet backbone providers.
